Effective November 3, 2026
These Website Terms of Use (the “Terms”) are an agreement between you and Azumo LLC (“Azumo,” “we,” “us” or “our”). They cover your use of azumo.com and the pages, content, forms and tools on it, including our AI assistant, Charli (together, the “Site”). Please read them carefully. Section 10 contains an agreement to resolve disputes by individual arbitration instead of in court, and it lets you opt out within 30 days.
By using the Site, you agree to these Terms, our Privacy Policy and our Cookie Policy. If you use Charli, the Charli Terms also apply to you. If you do not agree, please do not use the Site.
The Site is meant for business and professional use by people who are at least 18 years old. By using it, you confirm that you are at least 18 and able to enter into a binding contract. If you use the Site on behalf of a company or other organization, you confirm that you have authority to accept these Terms for it, and “you” includes that organization.
We may suspend or end your access to the Site at any time, with or without notice, including if we believe you have broken these Terms.
The Site and everything on it, including text, graphics, logos, software, designs, and the way they are selected and arranged, belongs to Azumo or its licensors and is protected by copyright, trademark and other laws. “Azumo” and our logos are our trademarks. Other names and logos on the Site may belong to their owners.
We give you a limited, revocable, non-exclusive, non-transferable permission to view the Site and to download or print pages for your own personal or internal business use. You may not copy, modify, distribute, sell or create derivative works from our content without our written permission, except as the law allows.
If you send us feedback, ideas or suggestions about the Site or our services, you agree that we may use them without restriction and without paying you. Personal information you send us through our forms or through Charli is also handled under our Privacy Policy.
You agree not to:
The Site may link to, or use, websites, tools and services run by other people. We do not control them and are not responsible for their content, security or practices. Your use of them is up to you and is governed by their own terms and policies. The third-party tools we use on the Site are described in our Cookie Policy and Privacy Policy.
Content on the Site, including blog posts, guides, case studies and anything Charli says, is general information about Azumo and about software and technology topics. It is not legal, financial, engineering, security or other professional advice, and you should not rely on it as if it were.
Using the Site, submitting a form or chatting with Charli does not create a client, consulting or other business relationship with Azumo, and nothing on the Site is an offer, quote or commitment. We provide services only under a written agreement signed by both parties.
The Site is provided “as is” and “as available.” To the fullest extent the law allows, Azumo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Site will be uninterrupted, secure or error-free, or that its content is accurate, complete or up to date. Answers generated by AI, including Charli’s, may be wrong.
To the fullest extent the law allows, Azumo and its members, managers, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to your use of (or inability to use) the Site. Our total liability for all claims relating to the Site will not exceed US$100.
Some places do not allow certain limits, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or willful misconduct.
To the extent the law allows, you agree to defend, indemnify and hold harmless Azumo and its members, managers, officers, employees and contractors from claims, damages, losses and expenses (including reasonable attorneys’ fees) that arise out of your breach of these Terms or your misuse of the Site. We may choose to control the defense of any such claim, and you agree to cooperate with us.
Please read this section carefully. It affects your legal rights.
What is covered. Except for the exceptions below, you and Azumo agree that any dispute, claim or disagreement between us that arises out of or relates to these Terms or the Site, including Charli (a “Dispute”), will be resolved by final and binding arbitration instead of in court. This includes disputes about whether this section applies or can be enforced, except that a court, not the arbitrator, decides whether the class-action waiver can be enforced. This section does not apply to any claim that was asserted against Azumo, in writing or in court, before the effective date of these Terms.
How arbitration works. The arbitration will be administered by JAMS under the JAMS rules that apply to the Dispute when it is filed, which are available at jamsadr.com. One arbitrator will decide the Dispute. The hearing will take place in San Francisco, California, unless we agree to hold it by video conference or somewhere else. The arbitrator must follow California law and these Terms, and may award the same individual relief that a court could. Fees are allocated under the JAMS rules, and if those rules require Azumo to pay a fee, we will pay it. The Federal Arbitration Act governs this section, and a court with jurisdiction may enter judgment on the arbitrator’s award.
Individual basis only; no class actions. You and Azumo may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine the claims of more than one person. If a court decides that this waiver cannot be enforced for a particular claim or request for relief, that claim or request (and only that one) must be brought in court as described in Section 12, and the court case will be paused until the arbitration of the remaining claims is finished.
Exceptions. Either of us may (a) bring an individual claim in small claims court if it qualifies, and (b) ask a court for an injunction or other fair relief to stop the actual or threatened infringement or misuse of that party’s intellectual property rights.
Your right to opt out within 30 days. You may opt out of this arbitration agreement by emailing hello@azumo.co within 30 days after the later of the effective date of these Terms and the day you first use the Site. Your email must include your name, the email address you use to contact us, and a clear statement that you opt out of arbitration. If you opt out, the arbitration and class-waiver provisions of this section will not apply to you, the rest of these Terms will, and any Dispute will be decided in court as described in Section 12.
To the extent the law allows, you and Azumo each waive any right to a trial by jury in any court proceeding between us that relates to these Terms or the Site.
California law governs these Terms and any Dispute, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs Section 10. For any Dispute that is not subject to arbitration (including if you opt out), you and Azumo agree that the state and federal courts located in San Francisco, California have exclusive jurisdiction and are the proper venue, and each of us waives any objection to those courts. The one exception is a small claims action permitted by Section 10, which may be brought in any small claims court that has jurisdiction.
If you and Azumo have signed a separate written agreement, such as a master services agreement, a statement of work or a non-disclosure agreement, that agreement prevails over these Terms for the matters it covers, including how disputes are resolved. These Terms apply to your use of the Site and do not change or replace that agreement.
We may change or discontinue any part of the Site at any time. We may also update these Terms from time to time. When we do, we will post the new version on this page and update the effective date at the top. If you keep using the Site after an update takes effect, you accept the updated Terms. A change to Section 10 does not apply to a Dispute that began before the change was posted.
These Terms, together with the Privacy Policy, the Cookie Policy and (if you use Charli) the Charli Terms, are the entire agreement between you and Azumo about the Site. If a court finds part of these Terms unenforceable, the rest stays in effect, subject to the class-action provision in Section 10. If we do not enforce a right, we have not given it up. You may not transfer your rights under these Terms without our written consent. We may transfer ours to a successor or affiliate.
